Software Licence

This is the licence for the SOIS core agent platform ("SOIS Core"). SOIS Core is a general-purpose AI agent platform designed for use across multiple industry verticals, including enterprise workflow, automation, and related domains. This licence documents ownership of SOIS Core and clarifies that derivative vertical implementations built on it do not transfer or assign ownership of the core platform.

1. Ownership of SOIS Core

All architecture, models, orchestration, framework components, base configuration, and underlying platform functionality that make up SOIS Core are and remain the exclusive intellectual property of SOIS AI Ltd. For the avoidance of doubt, SOIS Core remains the property of SOIS, including any modifications, adaptations, or derivatives of SOIS Core incorporated into any downstream or vertical product. No use, branching, or derivative implementation of SOIS Core transfers ownership of SOIS Core to any third party.

2. Permitted vertical implementations

SOIS Core may be used as the underlying platform for industry-specific products ("Vertical Implementations"). Ownership of vertical extensions built on SOIS Core remains with the respective vertical product owner, excluding SOIS Core itself. For example, an industry-specific product built on SOIS Core is a Vertical Implementation derived from SOIS Core; ownership of SOIS Core remains with SOIS AI Ltd.

3. Platform development rights

SOIS retains full and unrestricted rights to continue developing SOIS Core, to commercialise it in any industry vertical, to license it to other vertical implementations, and to modify it independently of any vertical product. Vertical implementations do not restrict the evolution of the SOIS platform outside their licensed domain.

4. Non-transfer of core rights

Use of SOIS Core within any vertical implementation, including incorporation into downstream repositories, does not transfer ownership of SOIS Core, grant rights beyond the agreed vertical scope, permit extraction of SOIS Core, or permit redistribution of SOIS Core independently. SOIS Core remains a separable platform component.

5. Derivative clarity

Where SOIS Core is modified, extended, or adapted within a vertical implementation, such modifications remain part of SOIS Core unless expressly defined as vertical-specific extensions. Derivative works of SOIS Core remain the property of SOIS.

6. Vertical licences

Specific vertical implementations may operate under separate vertical licences granted by SOIS. Such licences may grant vertical exclusivity but do not transfer ownership of SOIS Core.

7. Change of control

Ownership of SOIS Core remains with SOIS AI Ltd in the event of acquisition, merger, or sale of any vertical implementation. Vertical licences survive change of control as defined in their respective agreements.

8. Intent

This licence reflects the intent that SOIS is the platform company, that vertical products own their extensions, that SOIS Core ownership never transfers, and that vertical exclusivity does not imply core ownership.

9. Governing law

This licence is governed by the laws of England and Wales.
